Supply Agreements: From Legal Issues to Practical Solutions

On 8 October 2026, Nadezhda Znak, lawyer and Partner at Borovtsov & Salei, spoke at an online seminar entitled “Supply Agreements: Conclusion, Performance and Debt Recovery,” which addressed current practical issues arising in contractual relationships between suppliers and buyers.

Particular attention was given to the following issues:

• the legal characterisation of a buyer’s claim for the refund of an advance payment where delivery of goods is delayed;

• the distinction between a claim for the refund of an advance payment and a unilateral withdrawal from a supply agreement, including the legal consequences of each course of action;

• practical aspects of claiming penalties for delayed delivery of goods where the buyer has submitted a claim for the refund of an advance payment.

The discussion focused on the practical application of contractual mechanisms and the challenges that may arise when determining the legal nature of claims brought and selecting appropriate remedies to protect infringed rights.

The Borovtsov & Salei team has practical experience in drafting, reviewing and advising on supply agreements. This expertise enables us to take into account not only the terms of a particular agreement, but also the potential legal consequences of its performance or breach, as well as the specific considerations involved in protecting the parties’ interests when disputes arise.
